Wbotz.com, is owned and operated by ByteWeb IT Solutions Private Limited, 323/24 OneWest W, Bhayli Sevasi Canal Road, Vadodara 391101, Gujarat, India.

Please carefully read, review and be sure you understand our Terms and Conditions prior to using the Software as a Service (SaaS) from Wbotz.com.

ByteWeb IT Solutions Private Limited (“Wbotz.com”, “Wbotz”, “we”, “us”, or “our”) provides a SaaS tool that allows our customers to create, edit, store, analyze and send message notifications to their customers using WhatsApp’s Cloud API. A “Customer” is an entity with whom ByteWeb IT Solutions Private Limited has an agreement to provide the Service.

This Terms of Service (the “Agreement”) is an agreement between the Customer and ByteWeb IT Solutions Private Limited, and is entered the date the Customer signs up for an account through Wbotz.com website (the “Effective Date”).

By registering for a Wbotz.com account, you acknowledge your understanding of these terms and enter the Agreement on behalf of Customer. If you do not agree, please do not use our Services.

1. Wbotz Platform

Provisioning of Wbotz.com is subject to:

  • Customer’s compliance with WhatsApp Business Policies, Pre-Integrated Applications, and Custom-Integrated Applications.
  • Customer taking necessary steps to enable interoperability between Wbotz.com and WhatsApp APIs, including approvals and API credentials.

2. Modifications to the Service and Fees

  • ByteWeb IT Solutions Private Limited may modify, suspend, or discontinue the Service with or without notice.
  • Monthly/annual subscription fees may change with 30 days’ prior notice.
  • New features are automatically covered under these Terms.

3. Trademark License

Customer grants ByteWeb IT Solutions Private Limited a non-exclusive, royalty-free license to use its trademarks and logos for marketing and promotional purposes during the Term.

4. Copyrights & Ownership

  • All rights to Wbotz.com and related intellectual property remain with ByteWeb IT Solutions Private Limited.
  • Customer may not copy, reverse engineer, resell, or exploit the Service.
  • Customer retains ownership of their content but grants Wbotz the right to process it for service delivery.

5. Customer Responsibilities

  • Customers are responsible for account security and all activities under their accounts.
  • Sharing login credentials is prohibited.
  • Wbotz may suspend or terminate accounts involved in unlawful, abusive, or infringing activity.

6. WhatsApp Policies

6.1 WhatsApp Usage Policy

  • Customers must adhere to WhatsApp Business Policy and WhatsApp Commerce Policy.
  • Customers must comply with WhatsApp rate limits: Rate Limits Documentation.
  • WhatsApp may review, approve, or reject any Message Templates.
  • Violations may result in suspension or permanent ban by WhatsApp.
  • Wbotz is not responsible for such violations; any resulting charges are the Customer’s liability.
  • Once registered on Wbotz.com, WhatsApp numbers cannot be reused on the WhatsApp Business App.

6.2 WhatsApp Onboarding & Verification

  • WhatsApp requires Facebook Business verification before API access: Verification Details.
  • Wbotz assists in onboarding but does not guarantee approvals.
  • Customers must provide all prerequisite documents.

6.3 WhatsApp Message Policy & Pricing

  • WhatsApp defines acceptable message types and pricing.
  • Conversations are billed directly by WhatsApp (both business-initiated and user-initiated).

  • Wbotz only charges subscription fees for SaaS usage, not message fees

7. Support

Support hours: 10:00am to 8:00pm IST (Mon–Fri, excluding Indian holidays) via email at [email protected] or the website chat widget.

8. Fees and Payment

  • Subscription fees are billed in advance and are non-refundable.
  • No refunds for partial months, upgrades/downgrades, or unused periods.
  • Late payments may result in suspension with 1.5% monthly late fee (or maximum allowed by law).

9. Limitation of Liabilities

  • Maximum liability of ByteWeb IT Solutions Private Limited is limited to the fees paid in the last 12 months or INR equivalent of USD $200, whichever is lower.
  • Wbotz is not liable for indirect, incidental, or consequential damages.

10. Term and Termination

  • Agreement continues until terminated.
  • Either party may terminate with 30 days’ notice before renewal.
  • Non-payment or policy violations may result in immediate suspension/termination.
  • No refunds are issued for early termination.

11. Governing Law & Jurisdiction

This Agreement is governed by the laws of India, and jurisdiction shall rest exclusively with the courts of Vadodara, Gujarat, India.
